By accessing or using ShopSparkle (“the Service”), provided by Codotype, LLC (“the Company,” “we,” “us,” or “our”) through ShopSparkle.app, you (“the User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ShopSparkle is an online tool that converts your uploaded product reviews and images into social media posts. By using the Service, you acknowledge that the Service is provided “as-is” and may be subject to modifications, upgrades, and changes at any time without notice.

3. User Content and Licensing

You may upload images and other content (“User Content”) to the Service. By uploading User Content, you represent and warrant that you have all necessary rights, licenses, and permissions to do so, and that your User Content does not violate any applicable laws, infringe any intellectual property rights, or violate the rights of any third party.

4. Storage and Retention of User Content

• Original Images: We will retain your original uploaded images for up to fourteen (14) days, after which they will be permanently deleted from our systems.
• Derivative Images: We reserve the right to store, use, and retain derivative images created from your User Content indefinitely. These derivative images may be used for the purpose of operating, improving, and developing our Service, as well as for internal analysis and product development.

5. Data Use and Privacy

We do not sell your personal or User Content data to third parties. Any data we collect will be used solely for internal purposes such as analysis and improvement of the Service, troubleshooting, and product development. 6. Intellectual Property Rights

Our Rights: All intellectual property rights in and to the Service, including software, design, text, graphics, logos, and other materials provided through the Service, are owned by or licensed to the Company.

Your Rights: You retain all rights to your original User Content. However, by using the Service, you grant us a worldwide, non-exclusive, royalty-free, fully paid-up license to use, store, modify, reproduce, and distribute the derivative images created from your User Content for the purposes described in these Terms.

7. User Conduct

You agree not to use the Service to:

• Upload any content that is unlawful, defamatory, obscene, threatening, harassing, or otherwise objectionable.
• Infringe upon the intellectual property rights, privacy, or any other rights of any third party.
• Interfere with the operation of the Service or any other user's enjoyment of the Service.

8. Disclaimer of Warranties

The Service is provided “as-is” and “as-available” without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall the Company or its affiliates be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to loss of profits, data, or other intangible losses, arising out of or related to your use of the Service or inability to use the Service.

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, agents, and licensors from any and all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your User Content, or your violation of these Terms.

We reserve the right to modify these Terms at any time. We will provide notice of any changes by posting the updated Terms on ShopSparkle.app or by other reasonable means. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Codotype, LLC is established, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

13. Severability

If any provision of these Terms is deemed invalid or unenforceable, such provision shall be interpreted to best reflect the intent of the original provision and the remaining provisions shall remain in full force and effect.

These Terms, along with our Privacy Policy, constitute the entire agreement between you and the Company regarding the use of the Service and supersede any prior agreements between you and the Company.
